2. User Content and Conduct
2.1 Definition of User Content
"User Content," also referred to as "Customer Data," encompasses all information, data, inputs, and other content, in any form or medium, submitted, posted, or otherwise transmitted by you or on your behalf through the Services. This explicitly includes inputs provided to the AI (such as codebases), any files uploaded, and feedback provided by you. It also includes outputs generated by the Service (such as tutorials) that contain personal information.
2.2 Prohibited Uses and Content Moderation
You warrant that any content you contribute to the Service does not infringe upon the rights of third parties and does not violate any applicable laws. This includes, but is not limited to, prohibitions against defamatory, racist, or threatening content, the posting of intimate photos or videos without the subject's consent, or engaging in targeted abuse or harassment. Easyberry LLC reserves the right, though not the obligation, to remove or refuse to distribute any content that does not comply with these Terms.
2.3 Prohibition of Sharing/Copying Content
To protect the value and integrity of the content provided through the Services, you are expressly prohibited from sharing account information, screen recording any part of the Service, or distributing any materials provided within the platform to unauthorized individuals. Furthermore, you are forbidden from copying, recreating, or using Easyberry LLC's unique methods, strategies, or any content for commercial purposes without explicit authorization.
2.4 Automated Use and Resource Abuse
You are prohibited from using automated systems or software to extract data from the Services (including "scraping"), sending excessive requests to the Services, or otherwise engaging in activities that could overload, damage, or impair the functionality or security of the Services. Any such activity is a material breach of these Terms.
3. Intellectual Property Rights
3.1 Ownership of User Content (Inputs/Outputs)
You retain all right, title, and interest, including all intellectual property rights, in and to the Customer Data you submit, including your inputs and the outputs generated by the AI based on those inputs, to the fullest extent permitted by applicable law. You grant Easyberry LLC a non-exclusive, worldwide, royalty-free, fully paid, sublicensable (solely for the purposes of providing the Services to you), and transferable license to reproduce, distribute, modify, and otherwise use, display, and perform all acts with respect to the Customer Data as necessary to provide, improve, and develop the Services. You warrant that you have the necessary rights to grant this license without infringing third-party rights and that Easyberry LLC's processing of Customer Data will not violate applicable laws.
3.2 Easyberry LLC's Intellectual Property
Easyberry LLC owns all right, title, and interest, including all intellectual property rights, in and to its Services, Documentation, proprietary software, algorithms, underlying data, know-how, trade secrets, designs, inventions, and all improvements or derivative works thereof ("Easyberry IP"). All rights not expressly granted to you in this Agreement are reserved by Easyberry LLC. You are strictly prohibited from copying, reproducing, modifying, translating, or creating derivative works of the Services or Documentation; reverse engineering or attempting to gain access to any software component; using the Services to create competing products or services, including training competing AI models, unless expressly approved by Easyberry LLC.
3.3 AI-Generated Content Copyright
You acknowledge that works solely generated by artificial intelligence, without sufficient human creative input, are generally not eligible for copyright protection under U.S. copyright law and are considered to be in the public domain. While you retain ownership of the data of the outputs generated from your inputs, the copyrightability of those outputs is contingent upon your human creative contribution, such as significant selection, arrangement, or modification of the AI-generated content. Easyberry LLC's intellectual property resides in its underlying AI system, platform infrastructure, user interface, and any human-curated content or methodologies, not in raw, unedited AI output itself. Easyberry LLC reserves the right to update its position on the copyrightability of AI-generated content based on evolving legal and regulatory guidance.
3.4 Feedback
If you provide feedback, including errors, problems, defects, suggestions, comments, or questions ("Feedback"), you grant Easyberry LLC a non-exclusive, worldwide, royalty-free, fully paid, sublicensable, and transferable license to use such Feedback. Easyberry LLC is free to use this Feedback for any purpose whatsoever, without any attribution or compensation to any party, and without any obligation or limitation governing such Feedback. All Feedback provided by you will be considered Easyberry LLC's confidential information.
4. AI Service Specifics
4.1 Use of Third-Party AI Providers
Easyberry LLC utilizes third-party AI service providers to power certain aspects of its Services. While Easyberry LLC integrates these third-party AI services into its platform, you acknowledge that the performance and output of such third-party AI are subject to their respective terms and conditions and limitations. Easyberry LLC, as the integrator, remains responsible for the Services it provides to you, and the disclaimers and limitations of liability set forth in these Terms apply to all AI-generated content, regardless of its underlying source.
4.2 Disclaimers for AI Accuracy
You acknowledge that AI-generated content, including tutorials or other outputs, may contain inaccuracies, be incomplete, or misleading, a phenomenon commonly known as "AI hallucination". You are prominently warned not to rely on AI output for critical decisions, particularly in sensitive areas such as financial, legal, or medical matters. The AI's responses are for informational purposes only and do not constitute professional advice. You are advised to cross-reference and verify any information obtained from the AI Services. Easyberry LLC, as the integrator of the AI, is responsible for the output of its AI, as it forms an integral part of the Services.
4.3 User Responsibility
You are solely responsible for your reliance on AI-generated content and for any actions taken based on such content.
4.4 Human Oversight and Escalation
For sensitive or complex inquiries, the AI Services may be designed to recognize their limitations and, where appropriate, escalate the interaction to human representatives. This "human-in-the-loop" approach is a critical safeguard. Human escalation is at Easyberry LLC's sole discretion and is not guaranteed.
4.5 Transparency of AI Interaction
You will be clearly informed that you are interacting with an AI-driven system, not a human.
5. Disclaimers and Limitations of Liability
5.1 "AS IS" Provision and Warranty Exclusions
THE SERVICES, INCLUDING ALL ASSOCIATED DOCUMENTATION AND EASYBERRY IP, ARE PROVIDED "AS IS." EASYBERRY LLC HEREBY DISCLAIMS ALL WARRANTIES IN CONNECTION WITH THE EASYBERRY IP, SERVICES, AND DOCUMENTATION, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THERE ARE NO GUARANTEES MADE WITH RESPECT TO THE QUALITY, STABILITY, AVAILABILITY, OR RELIABILITY OF THE SERVICES, UNLESS OTHERWISE EXPLICITLY AGREED UPON IN A SEPARATE, APPLICABLE AGREEMENT.
5.2 Limitations of Liability
NEITHER PARTY WILL BE LIABLE FOR (A) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES; (B) INCREASED COSTS, DIMINUTION IN VALUE OR LOST BUSINESS, PRODUCTION, REVENUES, OR PROFITS; (C) LOSS OF GOODWILL OR REPUTATION; (D) USE, INABILITY TO USE, LOSS, INTERRUPTION, DELAY OR RECOVERY OF ANY DATA, OR BREACH OF DATA OR SYSTEM SECURITY; OR (E) THE COST OF REPLACEMENT GOODS OR SERVICES. THE AGGREGATE LIABILITY OF EITHER PARTY WILL BE LIMITED TO THE GREATER OF (I) THE TOTAL AMOUNTS PAID TO EASYBERRY LLC UNDER THIS AGREEMENT IN THE SIX-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100).
6. Indemnification
You agree to indemnify and hold Easyberry LLC harmless from any and all claims, actions, damages, costs, and expenses (including legal fees on a full indemnity basis) arising out of or in connection with your use of the website or any content you provide. This includes, but is not limited to, situations where your content infringes upon third-party rights or violates applicable law.
7. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, or through other mutually agreed-upon dispute resolution mechanisms.
8. Amendments to Terms
Easyberry LLC reserves the right to modify these Terms periodically. You will be provided with prior notice of such changes, typically not less than 30 days before the changes become effective. Your continued use of the Services after the effective date of the changes will constitute your acceptance of the new Terms. If a material change is not acceptable to you, you may terminate this Agreement by giving us written notice of the termination before the end of the 30-day period referred to in this clause. If and when Easyberry LLC charges for its services, we will refund you any pro-rata Service Fee in respect of the unexpired part of any paid services upon such termination, provided written notice is given before the changes take effect.
